Project Structuring

Our project structuring and procurement management service consists of the following components:

1.         Project risk assessment

MDA conducts risk assessments of projects aimed at identifying risk areas which can be managed through project strategies and contract conditions.  The risk assessment process is also aimed at identifying the risks which a client is prepared to accept (“risk appetite”).

These risk assessments form the basis of our recommendations in respect of the project structure and the best fit contract conditions to implement such project structure.

We also review contract conditions, drafted by others, at enquiry stage to establish the risks inherent in such contract conditions. 

2.         Project Strategy

MDA assists clients implement recommended project strategies such as:

  • Engineering, Procurement and Construction Management (“EPCM”);
  • Agreed Target Cost;
  • Build-Operate-Transfer;
  • Public Private Partnerships; and
  • Partnering and alliances

Each project strategy has its unique benefits and risks.  MDA assists clients by:

  • Identifying such benefits and risks;
  • Providing strategies to ensure that such risks are properly managed so that benefits can be maximized; and
  • Drafting and negotiating contracts on behalf of our clients to ensure that the contractual framework for implementing the recommended project strategy is maintained.

3.         Contract Review and Drafting

MDA assists clients with the drafting of all capital procurement and related contract documentation.  Such contract drafting service consists of:

  1. Recommending standard form contracts;
  2. Amending standard form contracts to complement a client’s risk appetite; and
  3. Drafting tailor made contract documentation.

Our contract drafting service also entails reviewing procurement documentation used by our clients on a regular basis to ensure that such documentation reflects the client’s risk appetite, international best practice and recent legislative changes.

4.         Project / Commercial Management

MDA provides a project / commercial management service which is aimed at ensuring compliance with the recommended project strategy and contract conditions. This service ensures compliance with the agreed contract conditions which facilitates successful project delivery within pre-determined cost, time and quality parameters.

5.         Project Launch Workshops:

MDA facilitates workshops with the contract management staff, conducts risk assessments and devises mitigation and management strategies to counter risks identified for particular projects.

6.         Project Management Audits

MDA audits contracts to ensure implementation and management strategies have been used and are successful, alternatively establish why things have gone wrong and present workshops to devise and promote counter strategies to avoid problems in the future.
